Course Description: The course aims to provide an overview of European business law and evolutionary profiles of corporate law. It begins in EU Directives and Regulations, and EU jurisprudence on corporate law. Students will be familiarized with the Directives and Regulations on EU corporate law putting it in perspective in comparison with principles of national merchant law. The subject will analyze the directives of The European Union related to equal shareholders, symbol of capital and its maintenance rules after the SLIM proposals, the treaty in connection with the division of public companies with the entire environment, etc.
Course Objectives: The course aims to provide an overview of European commercial law and in particular the evolutionary profiles of corporate law. The course focuses mainly on EU Directives and Regulations, and on EU corporate law. Students will be introduced to the Directives and Regulations on EU corporate law by looking at it in a comparative perspective with the basic principles of national commercial law. The course will analyze the directives of the European Union regarding the equal treatment of shareholders, capital requirements and its maintenance rules following the SLIM proposals, the treaty on the division of public limited liability companies, etc.
